ماروین هوبرمن عزیز،

نامه اخیر شما در رابطه با تعویق مجمع عمومی برای سومین بار را دریافت کردم. لازم میبینم که از زحمات شما قدردانی کنم که باعث شده اید که شرایط برای "انتخابات منصفانه و شفاف 9 عضو هیئت مدیره کنگره، تایید لیست اعضا ، ارائه دستورالعمل های روشن در مورد رأی گیری وکالتی (پروکسی) ، ضوابط برای لوایح پیشنهادی اعضاء و شرایط صلاحیت نامزدی برای انتخابات و همچنین برای کنگره زمان کافی جهت تهیه صورتهای مالی حسابرسی شده مربوط به سالهای مالی 2018 تا پایان سال 2019 و ارائه به جلسه مجمع عمومی در تاریخ 3 ماه مه 2020" فراهم شوند.

آنچه من و شاید دیگران را تا اندازه ای دلگیر می کند فقدان توضیحات درباره تغییراتی است که اجازه میدهند در رابطه با افرادی که در پرونده علیه کنگره مداخله داشته اند شایعاتی بوجود آید. نیاز داشتن توضیحاتی از طرف شخص مستقلی مانند شما به خوبی حس میشود. هدف اصلی شکایت علیه هییت مدیره قانونمند کردن این نهاد بوده است. متاسفانه به تعویق انداختن مجمع عمومی کنگره را در شرایطی قرار داده است که در مواردی مغایر اساسنامه اش عمل نماید:

- اساسنامه کنگره مدت خدمت اعضاء در هییت مدیره را چهار سال متوالی محدود کرده است. در موقعیت فعلی سوده قاسمی، ریاست کنگره برای پنجمین سال در هییت مدیره حضور دارد.

- فاصله برگزاری دو مجمع عمومی نباید از پانزده ماه بیشتر شود. در شرایط فعلی این مدت زمان به بیست و چهار ماه افزایش پیدا کرده است.

در ضمن شرایط اسنثنایی کنونی، این امکان را برای هییت مدیره بوجود آورده است که انطور که مایلند در شش ماه آینده عمل نمایند. برای مثال اطلاعات مربوط به تعویق مجمع عمومی بعد از پنج روز هنوز در وبسایت و صفحات فیسبوک کنگره منتشر نشده اند. به اعتقاد من، به اشتراک گزاردن برخی توضیحات و ایجاد محدودیت هایی بر فعالیت های هیئت مدیره برای مدت زمان باقی مانده در جهت ممانعت از وارد شدن خسارت های بیشتر به این نهاد ضروری است.

Dear Marvin J. Huberman

 I received your recent letter regarding postponing for the third time the AGM. I would like to express my appreciation for your efforts “to ensure a fair and transparent election for 9 directors, verify the ICC Members' Registry, provide clear instructions regarding Proxy Voting, Members' Motions and Candidacy Eligibility, and for ICC to obtain audited financial statements for fiscal years 2018 to end of 2019 to be laid before the 2019 AGM” which are very important for the organization and its members.

What causes frustration is the lack of explanation regarding the change of the AGM date. This has allowed the creation of rumours involving the parties to the lawsuit. We need to hear from you, as an independent monitor, the reasons for the changes to the AGM date.

The main reason for the lawsuit was to make the ICC lawful. Unfortunately, postponing of the AGM has put the ICC in a situation of not respecting its bylaw on several matters.

 - The bylaw limits the presence of the members on the board to not more than four consecutive years. In the current situation, Soudeh Ghassemi, the president, is serving her fifth year on the board of directors.

- The maximum time limit between two AGMs should not exceed fifteen months. In the current case with the AGM postponed to May 2020, it is going to be 24 months.

Meanwhile, in the coming six months this particular situation allows the board to act in a way that it is convenient for them. For instance, the information regarding the recent change to the AGM date has not been shared on the website and Facebook pages of the ICC after five days. On the other hand, IC Journal, the online media managed by some of ICC board members, continues its propaganda about the ICC affairs.

 I believe that sharing some explanatory information and applying some restrictions on the board activities for the remaining time is necessary to prevent further damages to the organization.
